Terms of Engagement

1. About Alpha Consultant

Alpha Consultant ("Alpha", "we", "us") is a cross-border business and digital advisory practice operating between Cambodia and New Zealand. Alpha provides coordination, project management, and support services. Regulated work is delivered by qualified partners under separate engagement.

2. Scope of services

Alpha's services are organised into four desks: Business & Tax, Trade & Investment, Digital Growth, and Immigration & Settlement. Each engagement is scoped in writing in an engagement letter. The engagement letter will specify:

  • What Alpha will deliver directly;
  • Which licensed partner (if any) will deliver any regulated component, and under what fee;
  • Deliverables, milestones, and timeline;
  • Fees, payment schedule, and disbursements.

3. Regulated work and partners

Alpha does not provide tax advice, immigration advice, legal advice, certified translation, or any other regulated service under its own name. These are delivered by partners holding the relevant licence or qualification, including but not limited to:

  • Tax filing and advice — a registered New Zealand tax agent (e.g. Baker Accounting, Finex);
  • Immigration advice — a Licensed Immigration Adviser under the Immigration Advisers Licensing Act 2007, or an exempt person (e.g. immigration lawyer);
  • Certified translation — a NAATI or NZSTI certified translator;
  • Legal advice — a New Zealand lawyer holding a current practising certificate;
  • Cambodia tax, accounting and registration — VCAT Professional Consultant.

Partners are engaged under their own terms and are solely responsible for the work they deliver. Alpha coordinates, but does not guarantee, partner work product.

4. Fees

Fees are quoted in the engagement letter and may be structured as fixed fee, monthly retainer, project fee plus success fee, or coordination fee plus separate partner fee. All fees are exclusive of GST unless stated otherwise. Disbursements (filing fees, translation costs, courier, third-party software) are passed through at cost.

5. Scope changes

Where the scope of work changes materially, Alpha will issue a written scope-change note before continuing. We will not silently expand the engagement.

6. Confidentiality

Alpha treats client information as confidential. We do not disclose client information to third parties except with the client's consent, or where required by law, or as necessary to engage a named partner under the engagement. Partner engagements are subject to the partner's own confidentiality obligations.

7. Intellectual property

Subject to full payment, ownership of bespoke deliverables (reports, plans, configured systems, websites) created for the client transfers to the client on completion. Alpha retains ownership of pre-existing methodologies, templates, and tooling.

8. Liability

To the extent permitted by law, Alpha's total liability for any claim arising from an engagement is limited to the fees paid by the client for that engagement. Alpha does not guarantee any specific visa, tax, business, or commercial outcome. Where regulated work is delivered by a partner, the client's recourse for that work is against the partner under the partner's own terms and professional indemnity arrangements.

9. Termination

Either party may terminate an engagement by giving written notice. The client remains liable for fees and disbursements incurred up to the date of termination, including non-cancellable partner fees.

10. Governing law

These Terms and each engagement are governed by the laws of New Zealand. Disputes are subject to the exclusive jurisdiction of the New Zealand courts.
